COINTELEGRAPH RESEARCH TERMINAL TERMS OF SERVICE

These Terms of Use (the "TOU"), as amended from time to time (This “Agreement”), governs Your use of the Services (as defined below) that Cointelegraph Research Terminal, a brand name of Cointelegraph Consulting Ltd., 2004-06, 20/F, Strand 50, 50 Bonham Strand, Sheung Wan, Hong Kong (hereinafter referred to as “Report Terminal”, “Research Terminal”, “Cointelegraph Research”, “Cointelegraph Consulting”, “Cointelegraph Report Terminal”, “Cointelegraph Research Terminal”, “We,”, “Us,” and/or “Our”) provide to you, the individual user of the service, (referred to herein as "You" or "Your") through Cointelegraph Report Terminal and various communication tools, including email and third-party content delivery methods such as through Cointelegraph Report Terminal-approved mobile applications accessed through any various medium or device now known or hereafter developed (collectively, “Site” or “Website"). The Website is operated by Cointelegraph Consulting Ltd., 2004-06, 20/F, Strand 50, 50 Bonham Strand, Sheung Wan, Hong Kong, and is governed by the Law of Hong Kong.

Once you start accessing the Service you are fully accepting and agreeing to be legally bound to all of the terms and conditions of this TOU Agreement as well as our Privacy Policy and Legal Disclaimer (collectively sometimes herein referred to as the “Terms”).

CHANGES TO THIS AGREEMENT

We reserve the right, in our sole discretion, to change, modify and/or revise this Agreement (including any Annex) at any time. Any such changes are effective immediately upon our posting of the amended Agreement or other notice to you. You agree that your continued use of the Services following such posting constitutes acceptance of the Agreement as amended.

THE SERVICES

The Services include our written and digital publications and Content, websites (including, but not limited to, research.cointelegraph.com), mobile applications and all other online and other platforms (collectively, the “Platforms”), all Content (defined below) displayed on or delivered through the Platforms, and memberships (collectively, the “Services”). “Content” means data, information, research, e-letters, newsletters, digests, articles and blogs, news aggregate services, emails, images, graphs, videos, podcasts, webinars, conferences, books, audio (including, but not limited to, access to conference calls), software, analytic tools, and any visual, audial or digital content made available on or through a Platform. The Services include certain Services provided free of charge (“Free Services”) as well as Services for which you must pay a one-time fee, periodic subscription fee, maintenance fee or other fee in order to have access, including, but not limited to, premium Content and memberships (collectively “Paid Services”). The terms of this Agreement apply to both Free Services and Premium Services (except where indicated below that the relevant terms apply only to a designated Premium Service).

This Agreement applies to all Services, whether purchased or used separately or as part of a membership package or any solution or bundled package of Services. If you purchase or use Services that are sold or otherwise provided together as a solution or bundled package (as opposed to your purchasing or using Services separately), termination of any part of the Services will result in the termination of all Services provided as part of the solution or bundled package.

HOW YOU MAY USE OUR CONTENT

We use a diverse range of information, text, photographs, designs, graphics, images and other Content on the Report Terminal site. You may only use the Content and Service as expressly permitted by these Terms; all rights not expressly granted to you are reserved by Report Terminal, its third-party providers and other respective owners if any, as they may exist from time to time.

Accordingly, You may view, use, copy, and distribute the Content purchased or found by You as an individual on the Report Terminal site for Your personal, internal, noncommercial, informational purposes only. If You purchase the Content as an enterprise, you must approve the access for each employee by contacting us at research@cointelegraph.com.

If You want to publish and distribute any free Content located on the Platforms, Your publications must be referenced and must contain a link to the original source.

If You want to publish and distribute paid Content behind the paywall as a Media outlet or else, please contact research@cointelegraph.com for such inquiries.

You are prohibited from data mining, scraping, crawling, or using any process or processes that send automated queries to the Report Terminal site. You may not use the Report Terminal site and you shall not modify, edit, copy, distribute, reproduce, publish, display, perform, license, sell, rent, lease, loan, create derivative works of, reverse engineer, alter, enhance, provide access to or in any way exploit the Service or Content in any manner. If you breach any of these Terms, your use will terminate automatically. You shall not make excessive requests for information or take any action that interferes with, disrupts or imposes an undue burden on the Service or any server or network connected to the Service or negatively affects the quality or availability of any Material, or speed or functionality of the Service.

Except as authorized in this paragraph, You are not being granted a license under any copyright, trademark, patent or other intellectual property right in the Content or the products, services, processes or technology described therein. You may only use the Service as expressly permitted by these Terms; all rights not expressly granted to you are reserved by Report Terminal, its third-party providers, including without limitation Cointelegraph Consulting Ltd (hereinafter sometimes referred to as Cointelegraph Consulting and expressly included as a third party provider) and other respective owners if any, as they may exist from time to time.

HOW YOU MAY USE OUR MARKS

The Report Terminal name and logos and all related products and service names, design marks and slogans are trademarks and service marks owned by Cointelegraph Consulting. All other trademarks and service marks including without limitation that of Cointelegraph Consulting, herein are the property of their respective owners. All copies that you make of the Content or this site must bear any copyright, trademark or other proprietary notice located on the site that pertains to the material being copied. You are not authorized to use any Report Terminal name or registered trademark in any advertising, publicity or in any other commercial manner without the prior written consent of Report Terminal. Requests for authorization should be made to research@cointelegraph.com. Furthermore, you shall notify Us promptly upon becoming aware of any unauthorized access to or use of the Service by any individual or entity or of any claim that the Service infringes upon any copyright, trademark, or other contractual, statutory, or common law rights.

NO ENDORSEMENTS MADE BY COINTELEGRAPH CONSULTING.

THE CONTENT ON THE SERVICE IS STRICTLY FOR INFORMATIONAL PURPOSES. Cointelegraph Consulting is a publisher of financial information, not an investment adviser. ANY AND ALL WARRANTIES TO THE FULLEST EXTENT OF THE LAW, INCLUDING ANY WARRANTIES FOR ANY INFORMATION, CONTENT, OR OPPORTUNITIES OBTAINED THROUGH, POSTED OR RECEIVED THROUGH ANY LINKS PROVIDED BY OR THROUGH THE SITE.

THE USER OF THIS SITE ASSUMES ALL RESPONSIBILITY AND RISK FOR THE USE OF THIS SITE AND THE INTERNET GENERALLY.

THE FOREGOING LIMITATIONS SHALL APPLY NOTWITHSTANDING ANY FAILURE OF THE ESSENTIAL PURPOSE OF ANY LIMITED REMEDY AND TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW.

ARBITRATION NOTICE

You agree that disputes or controversies arising between you and us will be resolved by binding, individual arbitration and you waive your right to participate in a class action lawsuit or class-wide arbitration. By agreeing to arbitrate you waive the right to have any disputes or controversies arising between you and us decided by a jury. In addition, please be advised that arbitrations are conducted with limited discovery, fact finding and motion practice.

REFUND POLICY

Since the Website offers non-tangible, irrevocable goods we do not provide refunds after the product is purchased, which you acknowledge prior to purchasing any product on the Website.

GOVERNING LAW

The laws of Hong Kong SAR, excluding its conflicts of law rules, shall govern this Terms and Your use of the Service. Your use of the Application may also be subject to other local, state, national, or international laws.

DISPUTES RESOLUTION

If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company.
